Terms of Service

1. Acceptance of Terms
By engaging Pandaface Digital LLC ("we," "us," "our") for website design and managed hosting services, you ("Client," "you") agree to these Terms of Service. These terms, together with any signed service agreement, govern our working relationship.
2. Services Provided
Pandaface Digital provides website design, development, hosting, and ongoing management services for local businesses. Our standard service plans include:
- Website design and development — custom-built, mobile-first websites
- Managed hosting — hosting on Cloudflare's global CDN with SSL, security, and daily backups
- Lead routing — form submissions delivered via SMS and/or email to designated contacts
- Website edits — as defined in Section 4 below
- Monthly performance reporting — traffic, lead, and uptime data delivered to Client
Additional services (SEO, Google Business Profile management, content writing, advertising, automation, etc.) are available as add-ons and priced separately.
3. Billing and Payment
- Setup Fee: A one-time setup fee is due before work begins. Work does not start until the setup fee is paid in full.
- Monthly Fee: Recurring monthly fees are billed automatically on the same date each month via the payment method on file.
- Minimum Term: The initial service term is six (6) months. After the initial term, service continues on a month-to-month basis.
- Late Payment: If a payment fails, we will notify you and make two additional attempts over 7 days. If payment is not received within 14 days of the due date, we reserve the right to suspend hosting until the balance is resolved.
- Price Changes: Monthly pricing is locked for the initial 6-month term. After that, we may adjust pricing with 60 days written notice. You may cancel instead of accepting the new pricing.
4. Website Edits — Scope and Limits
Your monthly plan includes unlimited minor website edits. Understanding what constitutes an "edit" is important:
What's Included ("Edits")
An "edit" is any text, image, or content change that can be completed by our team in 15 minutes or less. Examples include:
- Changing a phone number, email address, or business hours
- Swapping an image (you provide the replacement)
- Updating service descriptions or pricing
- Adding or removing a service from your list
- Fixing a broken link
- Adding a seasonal banner or announcement
- Minor color or font adjustments
What's NOT Included ("Projects")
The following are considered "projects" and will be quoted separately before any work begins:
- Designing or building entirely new pages
- Major redesign of existing pages
- Adding new features or functionality (booking systems, e-commerce, member areas, etc.)
- Writing or rewriting large blocks of copy (full page overhauls)
- Photo or video production
- Custom integrations with third-party software
We will always tell you before starting any work that falls outside the scope of included edits. You will never be charged for project work without your explicit written approval.
Edit Request Turnaround
- Response time: Within 2 business days
- Completion: Within 5 business days (most edits are completed same-day)

Fair Use
The "unlimited edits" policy is designed for reasonable use by small businesses. If edit volume consistently exceeds what can reasonably be completed within the scope described above, we reserve the right to discuss adjusting your plan or converting recurring large-volume requests into project work at our standard hourly rate.
5. Ownership and Intellectual Property
This is where we differ from most agencies. You own your stuff:
- Your Domain: Your domain is registered in your name. We manage DNS on your behalf, but you control it.
- Your Code: All custom code written for your website is yours. It is stored in a code repository accessible to you.
- Your Content: All text, images, and media on your website belong to you.
- Our Stuff: Pandaface Digital retains ownership of our general-purpose tools, frameworks, templates, and internal processes used across multiple clients. You receive the benefit of these tools but do not own them.
- Branding: The Pandaface Digital name, logo, and branding remain our property.
Upon termination of service and payment of any outstanding balance, we will transfer all Client-owned assets (domain, code, content) to you or your designated representative within 14 business days. No "export fees" or transfer charges apply.
6. Hosting and Uptime
- Your website is hosted on Cloudflare Pages, a globally distributed content delivery network.
- We target 99.9% uptime but do not guarantee it. Downtime caused by Cloudflare infrastructure, DNS propagation, or force majeure events is outside our control.
- Scheduled maintenance, if needed, will be communicated at least 48 hours in advance.
7. Cancellation and Termination
- During Initial Term: If you wish to cancel during the 6-month initial term, all remaining monthly fees for the initial term become due immediately.
- After Initial Term: Either party may cancel with 30 days written notice. No penalty.
- Upon Cancellation: We transfer your domain, code, and content to you. Your site will continue to function for 30 days after your last payment to allow for migration. After 30 days, hosting is discontinued.
- For Cause: We reserve the right to terminate service immediately if the Client's website is used for illegal activity, hate speech, or any content that violates applicable law.
8. Client Responsibilities
You agree to:
- Provide accurate and complete information needed to build and maintain your website
- Respond to requests for content, approvals, or feedback within a reasonable timeframe
- Maintain the security of any credentials or access we provide
- Use our services in compliance with applicable laws
- Pay all fees on time
9. Limitation of Liability
Pandaface Digital shall not be liable for indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to lost revenue, lost data, or business interruption.
Our total aggregate liability for any claim arising from these terms shall not exceed the total amount paid by you to Pandaface Digital in the six (6) months preceding the claim.
10. Indemnification
Client agrees to indemnify Pandaface Digital against claims arising from: (a) content provided by Client for use on the website, (b) Client's products or services, (c) Client's violation of applicable laws, or (d) Client's breach of these terms.
11. Governing Law and Disputes
These terms are governed by the laws of the State of Idaho. Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Ada County, Idaho, under the rules of the American Arbitration Association.
12. Changes to Terms
We may update these terms. Material changes will be communicated via email to active clients at least 30 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the updated terms.
